1. Agreement to These Terms
These Terms of Use and End User Agreement (“Terms”) apply to your use of protechfabcut.com and related online quoting, ordering, customer, and connected-account features provided by Protech Fabrication & Machine LLC (“Protech,” “we,” “us,” or “our”). By using these services, submitting a request, or accepting a quote, you agree to these Terms.
2. Quote Requests Are Not Orders
Submitting a DXF, STEP, STP, drawing, request-for-quote form, or project inquiry does not create a purchase order or require Protech to perform work. Protech reviews each request for manufacturability, material availability, pricing, shipping, lead time, and other requirements before issuing a quote.
3. Quotes, Acceptance, and Payment
A quote becomes eligible to move forward when it is accepted in the manner provided with the quote. Any quoted price, freight, lead time, taxes, payment requirement, scope, or special condition shown on the quote is part of the transaction terms.
For orders marked as requiring prepayment, payment must be received and confirmed before production begins. Accepting a quote may cause the website to create an invoice in Protech's QuickBooks Online account and direct the customer to an Intuit/QuickBooks-hosted payment page.
4. QuickBooks Online Connection and License
The Protech website may use Intuit QuickBooks Online APIs to create or retrieve business records related to a quote or order, such as customer and invoice information and invoice payment status. When a QuickBooks company administrator authorizes the connection, that administrator grants Protech's application permission to access the authorized QuickBooks data solely for the business functions described in this agreement and our Privacy Policy.
Subject to these Terms, Protech grants authorized users a limited, non-exclusive, non-transferable, revocable right to use the website's connected application functions for legitimate business with Protech. Users may not attempt to bypass security, access another customer's information, interfere with the service, reverse engineer protected portions of the application, or use the service unlawfully.
5. Customer Files, Designs, and Authorization
You represent that you have the right to provide any drawings, CAD files, specifications, trademarks, images, or other materials you submit and to authorize Protech to use them for quoting, engineering review, manufacturing, and fulfilling your order. Protech does not claim ownership of customer-supplied designs merely because they are uploaded through the website.
6. Customer Responsibility for Specifications
Customers are responsible for reviewing quotes, drawings, revisions, dimensions, quantities, materials, finishes, tolerances, and other stated specifications before acceptance when those items are provided for approval. Protech may contact the customer for clarification when submitted information is incomplete or appears inconsistent.
7. Manufacturing, Lead Times, and Shipping
Lead times are estimates unless expressly stated otherwise. Actual timing may be affected by material availability, design clarification, production scheduling, carrier delays, weather, events outside Protech's reasonable control, or requested changes. Risk of loss and shipping terms will be governed by the applicable quote, invoice, shipping documents, and applicable law.
8. Changes and Cancellations
Requested changes after quote acceptance may require revised pricing and lead time. Once material has been purchased, programming or engineering has begun, or production has started, cancellation may be subject to charges for work performed, committed material, nonreturnable items, outside services, and other incurred costs.
9. Website Availability
We work to keep the website and online ordering tools available, but uninterrupted or error-free operation is not guaranteed. We may maintain, modify, suspend, or discontinue features when reasonably necessary. If an online submission appears to fail, contact Protech before assuming a quote request or order was received.
10. Prohibited Use
You may not use the website to submit malicious files, attempt unauthorized access, interfere with operation, impersonate others, infringe intellectual-property rights, violate law, or request work that Protech cannot lawfully provide.
11. Third-Party Services
The website may rely on third-party services such as hosting, email, QuickBooks Online, online payment services, and shipping carriers. Those services may have their own terms and privacy policies. Protech is not responsible for outages or acts of independent third-party services outside Protech's reasonable control.
12. Disclaimer and Limitation
To the extent permitted by law, the website and online tools are provided on an “as available” basis. Nothing on the website replaces the specific terms, drawings, specifications, warranty terms, or obligations stated in an accepted Protech quote, invoice, or written agreement. Liability relating to a particular manufactured product or service will be governed by the applicable transaction documents and law.
13. Termination of Access
Protech may restrict or terminate access to website or connected-application functions if necessary to protect customers, Protech, Intuit/QuickBooks data, system security, or legal compliance. A QuickBooks administrator may revoke the application's QuickBooks authorization through applicable Intuit account controls.
14. Changes to These Terms
We may revise these Terms as our website and business processes change. The effective date above identifies the current version. Material transaction terms already accepted by a customer remain governed by the applicable quote, invoice, or written agreement.
